1. Purpose
These General Terms and Conditions of Sale (GTC) define the conditions under which the Service Provider performs non-destructive testing (NDT) services using infrared thermal imaging cameras and ultrasonic measurement equipment, for all types of clients, without distinction of status, primarily within Belgium.
2. Nature of the Services
The Service Provider performs diagnostic, inspection and analysis services by means of infrared thermography and ultrasound.
The services are carried out without destructive dismantling, without modification of installations and without direct intervention on equipment, unless otherwise agreed in writing.
The details of the services performed, their content, estimated duration and price are defined exclusively in the quotation accepted by the Client.
3. Nature and Limitations of the Inspections
The services provided are non-destructive inspections, carried out without dismantling installations.
The inspections make it possible to identify anomalies visible at the time of the inspection, under the operating and load conditions observed during the intervention.
The inspections do not constitute a guarantee of absence of defects, a regulatory certification, nor a guarantee of future proper operation of the installations.
In the context of building and residential inspections, infrared thermography does not directly measure moisture, but highlights thermal anomalies that may be consistent with the presence of moisture, condensation, water ingress or insulation defects.
Non-destructive inspections are based on the observation of physical phenomena dependent on operating conditions at the time of the intervention (electrical load, temperature, humidity, operating regime, environment).
As a result, certain anomalies may be intermittent or evolve over time.
Regular inspections significantly increase the likelihood of defect detection, allow monitoring of their evolution and improve the overall reliability of the diagnosis, particularly for electrical, high-voltage and industrial installations.
4. Obligation of Means
The Service Provider is subject to an obligation of means and not an obligation of result.
The Service Provider implements reasonable technical, human and methodological means, in accordance with best industry practices, to perform the agreed services.
5. Subcontracting
The Service Provider reserves the right to subcontract all or part of the services to qualified third parties.
Subcontracting shall not modify the Service Provider’s contractual obligations nor the financial conditions agreed with the Client.
6. Conditions Required for the Intervention
The Client undertakes to:

ensure that the installations concerned are operational and under sufficient load;

guarantee accessibility to the equipment to be inspected;

provide a competent contact person to accompany the Service Provider;

provide all site-specific safety instructions.
The opening and reinstallation of electrical protections (panels, covers, protective screens or barriers) are carried out exclusively by the Client or their authorised representative.
The Service Provider performs no removal or reinstallation of electrical protections.
7. Safety of Electrical and High-Voltage Installations
Inspections of electrical installations, including high-voltage substations, are carried out without switching operations, without lockout/tagout and without direct intervention on equipment, in strict compliance with site safety rules.
Responsibility for electrical safety, authorisations, access permits and working conditions lies exclusively with the Client.
8. Estimated Duration
The durations indicated in the quotation are estimates and are established on the basis of:

information provided by the Client;

site configuration;
-
dispersion and accessibility of equipment;
-
operating conditions at the time of the intervention.
9. Pricing Terms
Services are invoiced according to the terms specified in the accepted quotation.
The price indicated in the quotation is fixed and lump-sum.
10. Flat-Rate Based on Estimated Duration
The price is established based on an estimate of the time required to fully perform the service, including preparation, on-site intervention, data analysis and report preparation.
The price is independent of the actual time spent.
Completion of the service in less time than estimated does not entitle the Client to any price reduction, unless otherwise agreed in writing.
11. Exceeding the Estimated Duration
In the event of a significant overrun of the estimated duration resulting from conditions not consistent with those described at the time of quotation, the Service Provider shall inform the Client.
Any additional duration may be subject to additional invoicing, subject to the Client’s prior agreement.
12. Equipment or Services Not Included
Any equipment, area or service not identified at the time of the initial quotation is not included in the service and may be subject to a supplementary quotation or additional invoicing after the Client’s agreement.
13. Equipment Not Accessible or Not Inspected
Equipment that is not accessible, not identifiable, out of service, not made available or for which access has not been authorised at the time of the intervention cannot be inspected.
The Service Provider shall not be held liable for the absence of inspection or failure to detect defects relating to such equipment.
The service remains fully payable, in accordance with the accepted quotation, without any price reduction.
14. Reports and Deliverables
Reports and deliverables present the observations made at the time of the inspection, under the intervention conditions observed.
They do not constitute a regulatory certificate, a certificate of conformity, nor a guarantee of future proper operation of the installations.
Reports are intended for the Client’s internal use, understood as use related to the operation, maintenance, technical management or analysis of the Client’s own installations.
The Client is authorised to share the reports with trusted third parties, including but not limited to insurers, brokers, experts, inspection bodies, maintenance providers or technical partners, in the normal context of site operation or management.
Any use of the reports for commercial, contractual, legal or certification purposes, as well as any modification or interpretation outside their technical context, shall be carried out under the sole responsibility of the Client, unless otherwise agreed in writing by the Service Provider.
15. Claims
Any claim relating to the services performed or to the reports and deliverables provided must be submitted in writing within fifteen (15) calendar days from the date of transmission.
After this period, the services and deliverables shall be deemed compliant, complete and definitively accepted by the Client.
16. Liability
The Service Provider’s liability, for all causes combined, is strictly limited to the amount excluding VAT of the service effectively invoiced and paid by the Client.
The Service Provider shall not be held liable for indirect, immaterial or consequential damages, including but not limited to loss of operation, loss of production, loss of turnover or loss of profit.
This limitation does not apply in the event of gross negligence or intentional misconduct by the Service Provider.
17. VAT
Prices are expressed exclusive of VAT.
The applicable VAT rate is 21%, in accordance with Belgian legislation.
18. Applicable Law and Jurisdiction
These GTC are governed by Belgian law.
Any dispute shall fall under the exclusive jurisdiction of the courts of the district where the Service Provider has its registered office.
19. Contract Language
These General Terms and Conditions of Sale are drafted in French.
In the event of translation into another language, only the French version shall prevail in case of divergence of interpretation.
20. Acceptance
Acceptance of the quotation, by signature or any written confirmation (including by e-mail), constitutes full and unconditional acceptance of these General Terms and Conditions of Sale.
21. Use of Images for Communication Purposes
Unless the Client expressly objects in writing, the Service Provider reserves the right to use images taken during interventions for communication purposes, in a strictly anonymised manner, without identification of the Client or the site.
22. Force Majeure
The Service Provider shall not be held liable in the event of total or partial inability to perform the service resulting from circumstances beyond its control.
The service may be postponed or adapted by mutual agreement between the parties.
